Due Diligence Documentation "Exhibit C-2"

Design/Build Contractor Profile

The following notes are provided pertaining to this exhibit:

  1. What: the Design/Builder must be qualified as to having the prerequisite expertise and experience building essentially similar project in scope and cost to that of the proposed Project.  The Contractor Profile provides this data so the Design/Builder selection process may be based upon quantitative and qualitative data.

  2. When: the Design/Builder must be retained during the pre-construction phase so the project design documents can be completed, costed and a Gross Maximum Price Construction Contract can be executed between the Owner/Developer and the Design/Builder.

  3. Why: due consideration must be demonstrated to investors and the provider of the construction financing as to the Owner's duty to select an experienced and qualified construction firm.

  4. Where: pre-construction phase once the market feasibility study (see Exhibit C-3) and the pro forma financial statements (see Exhibit C-5) have been prepared.

  5. How: electronic file format that provides all required information points.

  6. What's important: the Owner/Developer must exercise due diligence in awarding the construction contract.  This exhibit is intended to demonstrate to the syndicate's prospective investors that the Owner/Developer has in fact exercised due diligence in selecting the Design/Builder.

  7. This exhibit is not required for syndications of existing properties that do not contemplate any new construction.
