Due Diligence Documentation "Exhibit F-17"

Market Feasibility Analysis Consultant Contract

The following notes are provided pertaining to this exhibit:

  1. What: the provision of the Market Feasibility Analysis Report (see Exhibit F-3) must be undertaken via a contract that has been duly executed by the contracting firm and the Developer (and/or Sponsor, as the case may be).

  2. When: typically, this is the first contract let by the Developer as a large portion of the proposed Owner's Program is dependent upon the findings and recommendations of the Market Analysis Report (see Exhibit F-3).

  3. Why: all services provided by third-party vendors and/or consultants must be provided via an executed contract.  This serves to place a limit on the expenses of the proposed Project and provides necessary information for creating the Pro Forma Financial Analysis Presentation (see Exhibit F-5) and the periodic accounting reports.

  4. Where: records are maintained by the Developer at the Developer's offices.

  5. How: all market feasibility services are provided pursuant to a fee-for-services agreement that does not include any kind of success fee or success payment.

  6. What's important: a full-scope agreement that includes all market feasibility issues as citations in the services agreement.
